An afternoon with Dr. Janis Sarra, IWIRC’s 2019 Woman of the Year in Restructuring

About this Event

While she likely needs no introduction to IWIRC members, Dr. Sarra is a distinguished professor of law at the University of British Columbia and leader in the insolvency field. Throughout the 16 years since she founded it in 1993, Dr. Sarra has been the heart and soul of the Annual Review of Insolvency Law, Canada's preeminent insolvency law journal and conference. She is also a tireless advocate for and supporter of women, and their promotion and advancement in the insolvency profession. In 2019 she was awarded IWIRC's Woman of the Year in Restructuring, making her both the first Canadian and first academic to receive the award.

Dr. Sarra has very kindly offered to host an event for IWIRC members at home on Bowen Island, Vancouver, B.C.

The event will include a presentation and discussion facilitated by Dr. Sarra on Bill C-97, tabled in Parliament in March 2019 and which includes proposed changes to the Bankruptcy and Insolvency Act, the Companies’ Creditors Arrangement Act and Canada Business Corporations Act, followed by a reception and networking.

Friday August 16, 2019

1:30pm - 3:00pm Presentation and discussion on Bill C-97

Key aspects of the bill include the following amendments:

  1. To the BIA to clarify that the duty of good faith applies to all parties in proceedings, and gives the court the power to remedy breaches of this duty. The proposed amendments also include further powers for the court to address executive payments made before an insolvency, and impose directors’ liability for such payments where appropriate, similar to dividends and buybacks, but with separate due diligence defenses for directors, among other issues; and
  2. To the CCAA to limit the duration of an initial stay order to no more than 10 days, limiting the scope of initial orders to relief reasonably necessary for the company to continue to operate during the period covered by the initial order, limiting the terms and conditions of any interim financing included in an initial order; requiring interested parties to disclose their real economic interests in proceedings, if required by the court, and clarify that the duty of good faith applies to all parties and gives the court power to remedy breaches of this duty.

Event logistics

Bowen Island is a short (17 minute) ferry ride from Horseshoe Bay, Vancouver. For individuals travelling from Vancouver airport, by taxi, Horseshoe Bay is approximately one hour and costs about $75. There is also the Canada Line and express buses from downtown Vancouver for around $6 total, taking about 20 minutes longer.

The Vancouver Committee of the IWIRC Western Canada Network will provide more information on options for travel between downtown Vancouver and Bowen Island closer to the time of the event.

In order to get to the Island in time for the 1.30pm start members will need to be on the 12.45pm ferry at the latest. Tickets must be purchased no later than 10 minutes prior to the scheduled ferry.

Bowen Island is an idyllic destination in the middle of Howe Sound. Please let us know when you register if you are interested in including kayaking, golf, lunch or dinner as part of your visit. Depending on interest, the Vancouver Committee will provide additional information and introductions to like-minded members for these activities, and may be able to facilitate group discounts, either for Friday morning or the following day.
