Designing Your Board
Your board - how it’s structured – determines how you govern. We’ll address how you get the right balance of ‘voices’ and skills around the table, and how to configure and map terms of office for effective succession planning and revitalization. And, if you have a senior manager, what the responsibilities are under the Act and ‘good governance’.
We’ll launch the process of producing clear, complete and accurate statements about your directors and the board. Along the way, we’ll capture the ‘gnarly’ questions that emerge that the Board must discuss and we’ll offer you an approach for having those conversations and making decisions.
About the Facilitators:
Ann Moskow is a Certified Management Consultant whose company TransformAction Consulting (Ltd.), focuses on strategic governance and strategic change. Ann has more than 35 years as a consultant, including extensive experience with the current Society Act. She’s helped new organizations develop their constitutions and bylaws, societies that were merging create consolidated versions to fit their new society, and established societies bring their constitutions and bylaws up to date.
Claire Rettie, MA CPCC is the principal of Borealis Coaching | Consulting (Ltd.). Claire has been a consultant and leader in change and transformation for close to 30 years. Her non-profit portfolio includes strategic leadership, planning and board governance initiatives for local, national and international organizations. Since 2010 she has been teaching Improving Non-Profit Governance with Dalhousie University.

About the Workshop Series:
Along with every other society in BC, you have to review and rewrite your Constitution and Bylaws to comply with the new Societies Act (2015).
The first step for your board and senior management is to understand the changes resulting from the new Act.
Then you’ll have to address The Big Questions:
Why do we exist: what’s our Purpose;
Who do we serve: who are our members;
How do we govern: how do we structure our board
We have a ‘foundational workshop’ on the new Act followed by a three-workshop series that will help you get ready to address these key governance and compliance issues.
We’ve designed the workshops so that each lays the foundation for the next Big Question – you build on what you’ve learned and done. In order they are: Understanding the Societies Act; Clarifying Your Purpose; Defining Your Members, and Designing Your Board.
Each Big Question workshop outlines key sections of the Act and guides you through a sequence of hands-on activities on the specific topic. You’ll leave with greater insight into the essential elements; a start on the segment for your Constitution or Bylaws; a list of questions for board discussion, and an approach for moving draft concepts to board recommendations.
Who should attend? You should attend if you’re one of the board members responsible for redoing your Constitution and Bylaws or if you’re the senior manager – and you’ll get the most out of the workshops if you come together.
